TERMS OF SERVICE

Welcome to Inventory My Stuff!

These Terms of Service (“Terms”, “Terms of Service”, “Terms and Conditions”) govern your (“User”) use of our web pages located at www.inventorymystuff.com (“Website”, “Site”, “Platform”) and our mobile application Inventory My Stuff (“App”) (together or individually “Service”) owned and operated by Northern Cellular LLC (“Company”, “Inventory My Stuff”, “we”, “our”, “us”).

The Company provides the Services through our App. By accessing the Services through the App, immediately and from your very first access of the Services, you unconditionally and irrevocably agree to be bound by these Terms and Conditions, all applicable laws and/or regulations and you agree that you are responsible for this compliance.

Your agreement with us includes these Terms and our Privacy Policy (“Agreements”). You (“User”) acknowledge that you have read and understood Agreements and agree to be bound by them.

If you do not agree with (or cannot comply with) Agreements, then you may not use the Service. These Terms apply to all visitors, users and others who wish to access or use the Service.

The Company reserves the right to change these Terms and Conditions. These changes are effective immediately upon posting. When changes come into effect, the revised Terms and Conditions shall supersede the previous version of the Terms and Conditions. You are responsible for regularly reviewing these Terms and Conditions.

ABOUT US
1. Inventory My Stuff mobile application is owned and operated by Northern Cellular LLC, registered in the State of Washington, USA 98229.
2. Inventory My Stuff is a versatile mobile application designed to organize and catalog all your possessions. With features that allow sorting by location, itemization, and category, it also provides the capability to flag items that have been damaged. Users can further specify the cause of damage, such as flood, fire, earthquake, theft, tornado, or vandalism, ensuring comprehensive coverage for their belongings.
3. Inventory My Stuff offers a subscription service tailored to your lifestyle, ensuring a comprehensive catalog of all your possessions. It's an essential tool for keeping track of your belongings and their value, especially during unforeseen events like fires, floods, thefts, hurricanes, and earthquakes.
4. The Company makes the App available (a) on the Website from which you can click on a link to download the App, or (b) for download directly from Google Play and the Apple App Store.
5. The Company shall make every effort to ensure that Inventory My Stuff is continually available to you.
CONSENT
1. By accessing or using Inventory My Stuff, visiting the Site or the App, or using any of our other Services, you consent to this Terms of Service Agreement and understand that your use of our Services is subject to this Terms of Service and our Privacy Policy, including applicable limitations on damages and the provisions regarding resolution of disputes. If you do not agree with this Terms of Service agreement, do not access or use any of our Services. ?
USE OF APP
1. You may access Inventory My Stuff and the Services via our App.
2. In order to be able to use the App, you shall (i) download and install the App on a mobile device which is compatible with the App, as well as (ii) have an Internet connection.
3. You agree that you are solely responsible for meeting the aforementioned requirements, which may also (i) bear additional charges and fees, and/or (ii) require you to perform software updates and/or to comply with the terms and conditions of your agreement(s) with your mobile device and telecommunications provider.
4. You may not use the App to transmit, distribute, store or destroy any material or information (i) in violation of any applicable law or regulation; (ii) in a manner that will infringe the copyright, trademark, trade secret or other intellectual property rights of any third party or violate the privacy or other personal rights of third parties; or (iii) that is defamatory, obscene, threatening, abusive or hateful.
5. When accessing the App, you shall be prohibited from:
  1. copying, reproducing, altering, modifying, creating derivative works, or publicly displaying any content from the App without the Company’s prior written consent;
  2. reverse assembling, reverse engineering or otherwise attempting to discover any source code relating to the App or any tool therein, except to the extent that such activity is expressly permitted by applicable law notwithstanding this limitation;
USE OF WEBSITE
1. You may not use the Website to transmit, distribute, store or destroy any material or information (i) in violation of any applicable law or regulation; (ii) in a manner that will infringe the copyright, trademark, trade secret or other intellectual property rights of any third party or violate the privacy or other personal rights of third parties; or (iii) that is defamatory, obscene, threatening, abusive or hateful.
2. When accessing the Website, you shall be prohibited from:
  1. using any robot, spider, other automatic device or manual process to monitor or copy any part of the Website;
  2. using any device, software or the like to interfere or attempt to interfere with the proper functioning of the Website;
  3. taking any action that imposes an unreasonable or disproportionately large data load on the Website infrastructure;
  4. copying, reproducing, altering, modifying, creating derivative works, or publicly displaying any content from the Website without the Company’s prior written consent;
  5. reverse assembling, reverse engineering or otherwise attempting to discover any source code relating to the Website or any tool therein, except to the extent that such activity is expressly permitted by applicable law notwithstanding this limitation; and
  6. attempting to access any area of the Website to which access is not authorised.

5. ELIGIBILITY

You are at least 18 years of age.
You use the Website and Services according to these Terms and all applicable laws and regulations determined by the state and country of residence.
You provide complete and accurate registration information and maintain accurate registration information on the Website.
You agree and understand that Inventory My Stuff may, at any time, without prior notice, revoke and/or cancel your access if you fail to meet these criteria or violate any portion of these Terms.

6. COMMUNICATIONS

By creating an Account on our Service, you agree to subscribe to newsletters, marketing or promotional materials and other information we may send.
You may opt out of receiving any, or all, of these communications from us by following the unsubscribe link or by emailing at cs@inventorymystuff.com

7. ACCESS AND USE

You must only use the App in accordance with these Terms and any applicable law.
You must not (or attempt to):
1. Interfere with or disrupt the App or the server or networks that host the Site;
2. Use data mining, robots, screen scraping or similar data gathering and extraction tools on the Site; or
3. Interfere with security-related or other features of the App.
We do not warrant that the App will be always available and without disruption and we provide no warranties in relation to the content of any other website linked to or from our App.
You must not link to our App or any part of our App in a way that damages or takes advantage of our reputation, including but not limited to:
1. In a way to suggest or imply that you have any kind of association and affiliation with us, or approval and endorsement from us when there is none; or
2. In a way that is illegal or unfair.

8. PROHIBITED USES

You may use the Service only for lawful purposes and in accordance with Terms. You agree not to use Service:
1. In any way that violates any applicable national or international law or regulation.
2. To exploiting, harming, or attempting to exploit or harm minors in any way by exposing them to inappropriate content or otherwise.
3. To transmit, or procure the sending of, any advertising or promotional material, including any “junk mail”, “chain letter,” “spam,” or any other similar solicitation.
4. To impersonate or attempt to impersonate the Company, the Company employee, another user, or any other person or entity.
5. In any way that infringes upon the rights of others, or in any way is illegal, threatening, fraudulent, or harmful, or in connection with any unlawful, illegal, fraudulent, or harmful purpose or activity.
6. To engage in any other conduct that restricts or inhibits anyone’s use or enjoyment of Service, or which, as determined by us, may harm or offend the Company or users of Service or expose them to liability.
Additionally, you agree not to:
1. Use Service in any manner that could disable, overburden, damage, or impair Service or interfere with any other party’s use of Service, including their ability to engage in real time activities through Service.
2. Use any robot, spider, or other automatic device, process, or means to access Service for any purpose, including monitoring or copying any of the material on Service.
3. Use any manual process to monitor or copy any of the material on Service or for any other unauthorized purpose without our prior written consent.
4. Use any device, software, or routine that interferes with the proper working of Service.
5. Introduce any viruses, trojan horses, worms, logic bombs, or other material which is malicious or technologically harmful.
6. Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of Service, the server on which Service is stored, or any server, computer, or database connected to Service.
7. Attack Service via a denial-of-service attack or a distributed denial-of-service attack.
8. Take any action that may damage or falsify the Company rating.
9. Otherwise attempt to interfere with the proper working of Service.

9. ACCOUNTS

When you create an account with us, you guarantee that you are above the age of 18, and that the information you provide us is accurate, complete, and current at all times. Inaccurate, incomplete, or obsolete information may result in the immediate termination of your account on Service.
You are responsible for maintaining the confidentiality of your account and password, including but not limited to the restriction of access to your computer and/or account.
You agree to accept responsibility for any and all activities or actions that occur under your account and/or password, whether your password is with our Service or a third-party service.
You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.
You may not use as a username the name of another person or entity or that is not lawfully available for use, a name or trademark that is subject to any rights of another person or entity other than you, without appropriate authorization.
You may not use as a username any name that is offensive, vulgar or obscene.
We reserve the right to refuse service, terminate accounts, remove or edit content, or cancel orders in our sole discretion.

10. REGISTRATION, LOGIN CREDENTIALS AND SECURITY

In order to be able to make use of and access the Services and App, you shall register on the App by providing the Company with all required information which includes but is not limited to your full name, email, home address and contact information.
You agree to (i) provide true, accurate, current and complete information about yourself as prompted by the sign-up process; and (ii) maintain and promptly update the information provided during registration to keep it true, accurate, current, and complete.
Each Inventory My Stuff account can be accessed by account holder via the App (“Account”).
If you provide any information to the Company that is untrue, inaccurate, outdated or incomplete, or if we have reasonable grounds to suspect that such information is untrue, inaccurate, outdated or incomplete, we may terminate your Account with us and refuse current or future use of any or all of the Services and Inventory My Stuff.
When registering an Account with the Company as a customer, you may provide the Company with your choice of Account password and username (“Login Credentials”).
You hereby:
1. acknowledge and agree that you are solely responsible for maintaining the confidentiality of your Login Credentials and for any and all activities that occur under your account;
2. agree to notify the Company immediately of any unauthorized use of your account or of any other breach of security. The Company shall not be liable for any loss that you may incur as a result of any third party using your Login Credentials or Account, either with or without your knowledge. However, you may be held liable for losses incurred by the Company as a result of a third party using your Account or Login Credentials.
3. acknowledge and agree that you may not use anyone else's Account at any time, without the express permission of such account holder.

11. PURCHASES

If you wish to purchase any product or service made available through Service (“Purchase”), you may be asked to supply certain information relevant to your Purchase including, without limitation, your credit card number, the expiration date of your credit card, your billing address, and your shipping information.
You represent and warrant that: (i) you have the legal right to use any credit card(s) or other payment method(s) in connection with any Purchase; and that (ii) the information you supply to us is true, correct and complete.
We may employ the use of third-party services for the purpose of facilitating payment and the completion of Purchases. By submitting your information, you grant us the right to provide the information to these third parties subject to our Privacy Policy.
We reserve the right to refuse or cancel your order at any time for reasons including but not limited to: product or service availability, errors in the description or price of the product or service, error in your order or other reasons.
We reserve the right to refuse or cancel your order if fraud or an unauthorized or illegal transaction is suspected.

12. SUBSCRIPTIONS

Some parts of Service are billed on a subscription basis (“Subscription(s)”). You will be billed in advance on a recurring and periodic basis (“Billing Cycle”). Billing cycles are set on a monthly, 3-months, 6-months or annual basis.
At the end of each Billing Cycle, your Subscription will automatically renew under the exact same conditions unless you cancel it or Inventory My Stuff cancels it. You may cancel your Subscription renewal either through your online account management page or by contacting Inventory My Stuff customer support team.
A valid payment method, including credit card, is required to process the payment for your subscription. You shall provide Inventory My Stuff with accurate and complete billing information including full name, address, state, zip code, telephone number, and a valid payment method information. By submitting such payment information, you automatically authorize Inventory My Stuff to charge all Subscription fees incurred through your account to any such payment instruments.
Should automatic billing fail to occur for any reason, Inventory My Stuff will issue an electronic invoice indicating that you must proceed manually, within a certain deadline date, with the full payment corresponding to the billing period as indicated on the invoice.

13. FREE TRIAL

Inventory My Stuff may, at its sole discretion, offer a Subscription with a free trial for a limited period of time (“Free Trial”).
You may be required to enter your billing information in order to sign up for Free Trial.
At any time and without notice, Inventory My Stuff reserves the right to (i) modify Terms of Service of Free Trial offer, or (ii) cancel such Free Trial offer.

14. FEE CHANGES

Inventory My Stuff, in its sole discretion and at any time, may modify Subscription fees for the Subscriptions. Any Subscription fee change will become effective at the end of the then-current Billing Cycle.
Inventory My Stuff will provide you with a reasonable prior notice of any change in Subscription fees to give you an opportunity to terminate your Subscription before such change becomes effective.
Your continued use of Service after Subscription fee change comes into effect constitutes your agreement to pay the modified Subscription fee amount.

15. ITEM OWNER

As an Item Owner, you understand that you will be able to list and describe your Items on your Profile.
You're creating a profile and listing your items; you represent and warrant that you can safely provide the item on display.
You also agree to use non-infringing relevant images.

16. PROHIBITED ITEMS

On the Inventory My Stuff, our business is to assist our users with a platform to store your items.
However, some items are prohibited from being stored and displayed on our platform because of some existing legal restriction, or they may be considered a threat to both health and security.
Furthermore, on the Inventory My Stuff, registered users aren’t allowed to list stolen items or items that they do not have proof of ownership for, and also any forged or counterfeit products.
We appeal to our Users to also refrain from listing inappropriate items that could be considered as unsuitable or offensive as we wouldn’t want your listings to offend other users.
Here are the categories or list of items not allowed to be listed:
1. Weapons and Hazardous Materials. All items that have strict regulations, could pose a security health/threat, are illegal or can be used to perpetrate criminal activities are not allowed to be listed on Inventory My Stuff. Items listed below are prohibited to avert legal issues, especially as laws and regulations vary in the various locations where the users reside. These items include but are not limited to:
  1. All firearms used for criminal activities including; handguns, side arms, assault rifles, shotguns and even functional parts such as ammunition, bullets, clips, arrows
  2. Knives are used as weapons, not including culinary, kitchen or utility knives.
  3. Outdoor equipment that could be used as weapons like arrows, shorts, and crossbows.
  4. Equipment that could be used to subdue human/ animals like; Tasers, mace, pepper spray, batons, etc.
  5. Protective vests such as body armor, bulletproof vests, not including protective clothing used for sporting activities.
  6. All explosive devices like bombs, fireworks, dynamites, grenades, etc.
  7. All hazardous chemicals such as tear gas, mustard gas, etc.
2. Illegal/Regulated Substances. All illegal substances, prescription drugs or control substances that are subject to any sort of regulations and are illegal aren’t to be listed on Inventory My Stuff. These items include but aren’t limited to:
  1. Controlled substances like opioids
  2. Marijuana and other narcotics
  3. Stimulants and enhancement drugs like steroids
  4. Hallucinogens
  5. Tobacco and its related merchandise such as vaporizers, e-cigarettes, pipes, and hookahs.
3. Forged and Counterfeit Products/Items. At Inventory My Stuff, our policy supports and protects the exclusivity of intellectual properties and so, we prohibit the listing of:
  1. Counterfeit and fake off brand items that were produced without the express knowledge or approval from the owner(s).
  2. Bootlegs
  3. Pirated copies of any copyrighted item such as; books, magazines, movies, music albums
4. Explicit Sexual Content. We do not allow the listing of contents, items or materials that could be considered as sexually explicit or adult contents. These items include;
  1. Pornographic contents
  2. Nudity
5. Discriminatory Contents/Items. Our platform welcomes users with different beliefs, creeds, religions, backgrounds, races. So, because of this, we implore our users to be sensitive to other Inventory My Stuff users by refraining from the use, posting and listing of materials and items that could be disrespectful to others. These include:
  1. Post or messages containing racial slurs
  2. Items that encourage any type of violence, especially against any race, religion, country, ethnicity, gender, sexual orientation or even animals
  3. Discriminatory posts or messages
  4. Items that advertise or promote groups discriminatory groups like; Neo-Nazi, KKK and including any and all terrorist group
6. Illegal Items. The Inventory My Stuff platform doesn’t allow for the listing of illegal items, or items that are meant for the exclusive use of security personnel or law enforcement and any item that could encourage criminal activities such as:
  1. Stolen items
  2. Forged documents such as; fake IDs, licenses and any other official, legal or government-issued documents
  3. Exclusive law enforcement related items like; uniforms and badges
  4. License plate tags
  5. Unregistered vehicles
7. Animals/Wildlife/ Wildlife Products. Our inclusive policy doesn’t only seek to protect people but also animals, so, in our bid to keep to best practices, we have tailored our policy to also protect animal rights and to also encourage the protection of endangered wildlife.
  1. Live farm animals, livestock and pets
  2. Reptiles
  3. Insects
  4. Parts of endangered wildlife like; ivory, animal hide and other products like this
  5. We allow for the listing of animal products and foods approved by the appropriate authorities.
8. Medical Items. Certain medical items have strict regulations and so are not allowed to be listed on Inventory My Stuff.
  1. Drugs, substances that require a prescription from a trained, qualified medical personnel
  2. Syringes and Needles
Non-Compliance. Inventory My Stuff reserves the exclusive right to remove or take down any listing deemed to be in violation of our guidelines. Note also, that other actions can be taken in addition to this if the user is a repeat offender or the offense is severe.

17. LOSS AND DAMAGE

The User is fully responsible for the Item and indemnifying us from any loss or damage which may occur by negligent use of the Item.
The risk of loss for the Item will be entirely with the User.
The User is responsible for any and all damage to the Item.

18. INSPECTION

The User acknowledges that the Company has had the opportunity to fully inspect the Item and has found the Item suitable for the purpose required.
The User further acknowledges and agrees that the Company understands the proper use of the Item and the Company will notify the User immediately in case the Item becomes unsuitable or unsafe for storage.

19. SAFETY

User will not (nor assist others to) violate any applicable law, contract, intellectual property, or other third-party right, and User is solely responsible for its conduct while using our Services.
User must not directly, indirectly, or through automated or other means:
1. engage in any harassing, threatening, intimidating, predatory, or stalking conduct;
2. use or attempt to use another user’s account without prior authorization from that user and Inventory My Stuff;
3. impersonate or register on behalf of any person or entity or otherwise misrepresent your affiliation with a person or entity, perpetrate fraud, or publish falsehoods or misleading statements;
4. collect information of or about other users in any impermissible or unauthorized manner;
5. use our Services other than for their intended purpose or interfere with, disrupt, negatively affect, or inhibit other users;
6. damage, disable, overburden, or impair our Services;
7. send, distribute, or post spam, unsolicited electronic communications, chain letters, pyramid schemes, or illegal or impermissible communications;
8. post, upload, or share any content which is unlawful, libelous, defamatory, obscene, pornographic, indecent, lewd, suggestive, harassing, threatening, invasive of privacy or publicity rights, abusive, inflammatory, fraudulent, or is in our sole judgment objectionable;
9. encourage or provide instructions for a criminal offense;
10. distribute any viruses, corrupted data, or other harmful, disruptive, or destructive files or content;
11. bypass, ignore, or circumvent instructions in our robots.txt file or any measures we employ to prevent or limit access to any part of our Services, including content-filtering techniques; or
12. expose Inventory My Stuff or others to any type of harm or liability.

20. NO USE BY MINORS

Service is intended only for access and use by individuals at least (18) years old. By accessing or using any of the Company, you warrant and represent that you are at least (18) years of age and with the full authority, right, and capacity to enter into this agreement and abide by all of the terms and conditions of the Terms. If you are not at least (18) years old, you are prohibited from both the access and usage of Service.

21. INTELLECTUAL PROPERTY

Service and its original content (excluding Content provided by users), features and functionality are and will remain the exclusive property of Inventory My Stuff and its licensors.
Service is protected by copyright, trademark, and other laws of the State of Washington.
Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Inventory My Stuff.
All code, text, software, scripts, graphics, files, photos, images, logos, and materials contained on this website, our applications, or within the services, are the sole property of Inventory My Stuff.
Unauthorized use of any materials contained on this Website, our applications or within the Service may violate copyright laws, trademark laws, the laws of privacy and publicity, and/or other regulations and statutes. If you believe that any of the materials infringe on any third party's rights, please contact Inventory My Stuff immediately at: cs@inventorymystuff.com
All content, trademarks, data, information or information contained in any materials, or documents used in relation to the Company and the Services, including but not limited to any and all copyrighted works, software, databases, text, graphics, icons, designs, logos, graphics, hyperlinks, domain names, information and agreements (“Content”), are the exclusive property of or are licensed to the Company. You may not reproduce, distribute or copy the Content by any means, whether electronically or not, without the Company’s prior written permission.
Any and all intellectual property rights in the Content, Services and the Company or otherwise developed by or on behalf of the Company, including all patents, rights in inventions, rights in designs, trademarks, trade and business names and all associated goodwill, rights to sue for passing off or for unlawful competition, copyright, moral rights and related rights, rights in databases, topography rights, domain names, rights in information (including know how and trade secrets) and all other similar or equivalent rights existing in the Content, Services and the Company or otherwise developed by or on behalf of the Company, now or in the future in any part of the world, in each case whether registered or unregistered and including all applications for, and renewals or extensions of, such rights for their full term (“Intellectual Property”), vests in the Company, its licensors or suppliers, as the case may be, and all rights not expressly granted by the Company to you are reserved by the Company.
Save as expressly set out herein and in the contracts, you shall not acquire any right, title or interest in the Company’s Intellectual Property. You may not use the Company’s Intellectual Property in a manner which may (i) place the Company’s Intellectual Property at risk of losing value, and (ii) cause reputational damage to the Company.

22. COPYRIGHT POLICY

We respect the intellectual property rights of others. It is our policy to respond to any claim that Content posted on Service infringes on the copyright or other intellectual property rights (“Infringement”) of any person or entity.
If you are a copyright owner, or authorized on behalf of one, and you believe that the copyrighted work has been copied in a way that constitutes copyright infringement, please submit your claim via email to cs@inventorymystuff.com with the subject line: “Copyright Infringement” and include in your claim a detailed description of the alleged Infringement as detailed below, under “DMCA Notice and Procedure for Copyright Infringement Claims”
You may be held accountable for damages (including costs and attorneys’ fees) for misrepresentation or bad faith claims on the infringement of any Content found on and/or through Service on your copyright. ? ?

23. DMCA NOTICE AND PROCEDURE FOR COPYRIGHT INFRINGEMENT CLAIMS

You may submit a notification pursuant to the Digital Millennium Copyright Act (DMCA) by providing our Copyright Agent with the following information in writing (see 17 U.S.C 512(c)(3) for further detail):
1. an electronic or physical signature of the person authorized to act on behalf of the owner of the copyright’s interest;
2. a description of the copyrighted work that you claim has been infringed, including the URL (i.e., web page address) of the location where the copyrighted work exists or a copy of the copyrighted work;
3. identification of the URL or other specific location on Service where the material that you claim is infringing is located;
4. your address, telephone number, and email address;
5. a statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law;
6. a statement by you, made under penalty of perjury, that the above information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner’s behalf.

24. LICENSES

Your Rights. Inventory My Stuff does not claim ownership of the information that you submit for your Inventory My Stuff account or through our Services. You must have the necessary rights to such information that you submit for your Inventory My Stuff account or through our Services and the right to grant the rights and licenses in our Terms.
Inventory My Stuff’s Rights. We own all copyrights, trademarks, domains, logos, trade dress, trade secrets, patents, and other intellectual property rights associated with our Services. You may not use our copyrights, trademarks, domains, logos, trade dress, patents, and other intellectual property rights unless you have our express permission
Your License to Inventory My Stuff. In order to operate and provide our Services, you grant Inventory My Stuff a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, create derivative works of, display, and perform the information (including the content) that you upload, submit, store, send, or receive on or through our Services. The rights you grant in this license are for the limited purpose of operating and providing our Services.
Inventory My Stuff’s License to You. We grant you a limited, revocable, non-exclusive, non-sublicensable, and non-transferable license to use our Services, subject to and in accordance with our Terms. This license is for the sole purpose of enabling you to use our Services, in the manner permitted by our Terms. No licenses or rights are granted to you by implication or otherwise, except for the licenses and rights expressly granted to you. ?

25. ERROR REPORTING AND FEEDBACK

You may provide us either directly at cs@inventorymystuff.com or via third party sites and tools with information and feedback concerning errors, suggestions for improvements, ideas, problems, complaints, and other matters related to our Service (“Feedback”). The parties further agree that any unresolved controversy or claim arising out of or relating to this agreement, or breach thereof, shall be settled by arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules and judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof.

We reserve the right to withdraw or amend our Service, and any service or material we provide via Service, in our sole discretion without notice.
